These Terms & Conditions ("Terms") govern your access to and use of the MinuteLens service (the "Service"), operated by PrizmForge LLC ("PrizmForge", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
MinuteLens is a hosted portal and analytics platform for public bodies (councils, commissions, boards, and similar) that provides searchable meeting content, member analytics, and a citizen-facing site branded to your agency.
2. Accounts
You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
3. Acceptable Use
You agree not to misuse the Service. In particular, you will not:
- use the Service for any unlawful, fraudulent, or deceptive purpose;
- send spam or infringe the intellectual property rights of others;
- attempt to probe, scan, or interfere with the security of the Service, or introduce malware; or
- scrape, reverse engineer, resell, or circumvent technical limits of the Service.
4. Intellectual Property
The Service, including all software, documentation, and branding, is owned by PrizmForge and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service under your selected plan. You retain ownership of content you upload; you grant us a limited license to host and process that content solely to provide the Service.
5. Payments, Subscriptions & Taxes
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Buyer Terms.
Subscriptions renew automatically each billing period until cancelled. You can manage or cancel your subscription from the customer portal.
6. Service Level
We work hard to keep the Service available, but we do not guarantee that the Service will be uninterrupted or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
7. Suspension & Termination
We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, your right to use the Service ends and we may delete your data after a reasonable export window.
8. Limitation of Liability
To the fullest extent permitted by law, PrizmForge's aggregate liability arising out of or relating to the Service will not exceed the fees you paid to Paddle for the Service in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law.
9. Indemnity
You will indemnify PrizmForge for third-party claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.
10. Governing Law
These Terms are governed by the laws of the United States and the state in which PrizmForge LLC is registered, without regard to conflict-of-laws principles. Disputes will be brought in the courts of that jurisdiction.
11. Changes
We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
